Terms & Conditions

1. Definitions

In these Terms and Conditions, the following terms have the meanings set out below:

  • "Agreement" means these Terms and Conditions together with any signed engagement scope document between the parties
  • "Service" means the AI integration services provided by Yuen Horizon, including voice transcription, managed AI operations, and template library deployment
  • "Client" or "User" means the organisation or individual engaging Yuen Horizon's services or accessing this website
  • "We / Us / Our" refers to Yuen Horizon, registered and operating in Hong Kong
  • "Content" means any material, documentation, recordings, or data provided by either party in connection with the Services
  • "Scope Document" means the written agreement describing the specific work, deliverables, timeline, and fees for an engagement

2. Acceptance of Terms

By accessing this website or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If you are engaging on behalf of an organisation, you confirm that you have authority to bind that organisation.

Use of our services is limited to individuals and organisations who are at least 18 years of age and have the legal capacity to enter into binding agreements under Hong Kong law.

3. Service Description

Yuen Horizon provides the following AI integration services to organisations based primarily in Hong Kong:

  • Voice Transcription Service for Field Teams — mobile-friendly transcription with Cantonese, Mandarin, and English support, vocabulary customisation, and monthly accuracy review
  • Managed AI Operations Service — ongoing operational and tuning support for organisations with completed AI pilots, delivered as a quarterly subscription
  • Industry-Specific AI Template Library Deployment — curated template configuration for specified Hong Kong industry verticals, including consultation, tailoring, pilot rollout, and documentation handover

The specific scope, deliverables, and fees for each engagement are defined in a written Scope Document agreed by both parties before work commences. These Terms and Conditions apply to all engagements unless otherwise specified in writing.

4. Scope and Change Management

All work performed by Yuen Horizon is bounded by the agreed Scope Document. Any request to add, modify, or remove deliverables must be submitted in writing and will be assessed through a formal change request process. No changes to scope are implemented without written agreement from both parties, including any adjustment to fees or timelines.

5. Client Responsibilities

To enable effective service delivery, the Client agrees to:

  • Provide accurate and complete information during scoping and configuration phases
  • Designate a named contact with authority to respond to questions and approve deliverables
  • Ensure that all personnel participating in orientations or using deployed tools have been informed of the system's capabilities and limitations
  • Not share access credentials or configurations with third parties without prior written consent from Yuen Horizon
  • Notify Yuen Horizon promptly of any concerns about system accuracy or data handling

6. Prohibited Uses

You agree not to use our website or services to:

  • Engage in any activity that is unlawful under Hong Kong or applicable law
  • Attempt to reverse-engineer, copy, or reproduce any proprietary methodology, template structure, or configuration developed by Yuen Horizon
  • Introduce malicious software or conduct activities that damage or interfere with our systems
  • Misrepresent your identity or the identity of your organisation
  • Use AI outputs from our services as the sole basis for clinical, legal, financial, or safety-critical decisions without human review

7. Intellectual Property

All proprietary methodologies, template structures, evaluation frameworks, and documentation formats developed by Yuen Horizon remain the intellectual property of Yuen Horizon. The Client is granted a non-exclusive, non-transferable licence to use deliverables (including reference handbooks and configured templates) within their own organisation for operational purposes.

Client-provided data, voice recordings, and internal documentation remain the property of the Client at all times. Yuen Horizon does not acquire any rights to Client content beyond what is necessary to deliver the agreed services.

8. Payment Terms

All fees are denominated in Hong Kong Dollars (HKD). Payment terms are specified in each Scope Document. Standard terms are:

  • Voice Transcription Service: invoiced monthly in advance
  • Managed AI Operations Service: invoiced at the start of each quarterly subscription period
  • Template Library Deployment: 50% on Scope Document signing, 50% on final deliverable acceptance

Invoices are payable within 14 days of issue. Late payment may result in suspension of services after written notice. We do not charge interest on overdue amounts unless specified in a Scope Document.

9. Disclaimers

Services are provided on an "as-is" basis with reasonable professional care. Yuen Horizon does not warrant that AI system outputs will be error-free or that transcription accuracy will reach any specific threshold not explicitly committed to in a Scope Document. AI-assisted outputs should be reviewed by qualified personnel before use in any regulated, clinical, legal, or safety-critical context.

We do not provide legal, medical, financial, or regulatory compliance advice. Any reference to regulatory frameworks (such as the PDPO) is for informational context only and does not constitute legal advice.

10. Limitation of Liability

To the extent permitted by Hong Kong law, Yuen Horizon's total liability to the Client for any claim arising from or related to these Terms or any Scope Document shall not exceed the total fees paid by the Client in the three months preceding the claim.

Yuen Horizon shall not be liable for indirect, consequential, or incidental losses, including loss of profit or data, arising from the use or inability to use the Services, except where caused by gross negligence or wilful misconduct.

11. Termination

Either party may terminate an engagement by providing written notice in accordance with the Scope Document. For monthly and quarterly subscriptions, 30 days' written notice is required. For fixed-term engagements, early termination conditions are specified in the Scope Document.

Upon termination, Yuen Horizon will deliver all completed work product and Client data within 14 days, after which Client data will be securely deleted in accordance with the Privacy Policy.

12. Dispute Resolution

In the event of a dispute, both parties agree to first attempt resolution through direct written communication. If the matter is not resolved within 30 days, either party may escalate to mediation under the Hong Kong Mediation Ordinance before pursuing legal proceedings.

These Terms are governed by the laws of Hong Kong. Any legal proceedings arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong.

13. General Provisions

  • Entire Agreement: These Terms and any signed Scope Document constitute the entire agreement between the parties and supersede prior representations or understandings
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force
  • No Waiver: Failure to enforce any provision does not constitute a waiver of that provision
  • Assignment: The Client may not assign rights or obligations under these Terms without prior written consent from Yuen Horizon
  • Notices: Written notices to Yuen Horizon should be sent to legal@yuenhori or to the address below

14. Changes to These Terms

We may update these Terms from time to time. The "Last Updated" date at the top reflects the most recent revision. Active clients will be notified of material changes by email with at least 14 days' notice. Continued use of the services following that notice period constitutes acceptance of the revised terms.
